LEGAL STATUS OF EMPLOYMENT OF BOARD MEMBERS IN COMPANIES IN THE REPUBLIC OF CROATIA

Abstract
In this paper, the author interprets domestic legal regulations related to the organization of legal status of employment of board members and contractual relationship of board members with the companies and gives a general review of organization of legal status of employment of board members in companies in the Republic of Croatia. For the purpose of company management, it is possible to conclude the Employment Contract between the board member and the company or special contractual relationship based on obligation right which is not an employment relationship. The paper will elaborate the differences between the aforementioned contracts, as well as the issue whether the board members are workers or not and enjoying the full protection according to the provisions of the Labour Act. Furthermore, based on case law examples of the subject matter jurisdiction of the courts in the Republic of Croatia, the author will try to give answers to some legal questions in the context of management contracts.
